TRUSTEES

The Trustees of the Foundation for the purposes of the Companies and Allied Matters. Act No 1 of 1990 shall be 7 (seven) and shall be appointed at a General Meeting the quorum by (2/3) majority vote of members present

The Trustees shall apply to the Corporate Affairs Commission (the Commission) for a Certificate of Incorporation under the Companies and Allied Matters ACT 1990.

Such Trustees (hereinafter collectively referred to as the (the Trustees) shall be known as THE REGISTERED TRUSTEES DAYSPRING HEARTCARE AND SUPPORT FOUNDATION”

 

Additional Trustees may from time to time be appointed by the General Meeting as they deem fit

 

Upon a vacancy occurring in the number of Trustees, a General Meeting will be held to appoint another eligible member of the Foundation.

 

Each Trustee shall hold office for life

 

However a Trustee shall cease to hold office if the

 

Resign his office; or

Cease to be a member of the Foundation; or

Becomes insane; or

Is officially declared bankrupt; or

Is convicted of a criminal offence involving dishonesty by a court of competent jurisdiction; of the Foundation.

 

Common Seal

 

The Trustees shall have a common seal

Such common seal shall be kept in the custody of the Secretary who shall produce it when required for use by the Trustees.

All documents to be executed by the Trustees shall be signed by the Chairman of the Trustees and the Secretary or any other Trustee in the absence of the Secretary and sealed with the Common Seal.
